
Please read these Terms and Conditions ("Terms") carefully before engaging Solterra Aqua Limited for any services. By accepting a quotation or instructing us to proceed, you agree to be bound by these Terms. Read alongside our Privacy Policy and Cookie Policy.
Incorporated in England and Wales on 27 April 2026. SIC codes: 43390 (building completion and finishing), 43999 (specialised construction activities), 43120 (site preparation work).
Pool construction and installation; site preparation and groundwork; saunas, steam rooms and wellness outbuildings; professional pool cleaning; heating, filtration and automation systems; water treatment and chemistry services. Delivered across geographical Europe, excluding Russia, Belarus and Ukraine.
4.1 All prices in EUR (excluding applicable taxes unless stated). VAT or local taxes are identified separately where applicable.
4.2 Quotations valid for 30 calendar days from issue date unless otherwise specified.
4.3 Prices based on information available at time of quotation. If site conditions differ materially, we reserve the right to revise the price in writing before proceeding.
A binding contract is formed when: (a) the Client provides written acceptance of the Quotation; or (b) the Client makes a deposit payment; whichever is earlier. These Terms apply to all contracts unless expressly modified in writing by a director of the Company.
Standard schedule: Deposit: 30% on contract formation. Stage payments: per agreed milestones. Final payment: remaining balance within 14 days of practical completion. All payments in EUR by bank transfer. Late payments accrue interest at 8% per annum above Bank of England base rate (Late Payment of Commercial Debts Act 1998).
Any variation to agreed scope must be agreed in writing before the variation is carried out. We will provide a written variation order with additional cost in EUR and timeline impact.
By the Client: More than 28 days before start: deposit retained, no further charge. 14-28 days before start: 50% of total contract value. Less than 14 days or after commencement: costs incurred plus 25% of remaining value.
By the Company: We may cancel if the Client is in material breach not remedied within 14 days, payment is overdue by more than 21 days, or site conditions present an unacceptable safety risk.
We may engage approved subcontractors, particularly for projects outside the UK. All subcontractors must meet our quality and safety standards. We remain responsible to the Client for all work performed under our contracts.
All designs, drawings and specifications created by us remain our intellectual property unless expressly transferred in writing. We grant the Client a licence to use such documents for the purposes of the Project only.
13.1 Our total liability shall not exceed the total fees paid under the relevant contract.
13.2 We shall not be liable for any indirect, consequential or punitive losses, loss of profit or loss of business.
13.3 Nothing in these Terms limits liability for: death or personal injury caused by our negligence; fraud; or any liability that cannot lawfully be excluded.
We provide a 12-month defects liability period from practical completion, during which we will rectify defects arising from our workmanship at no additional cost. Manufacturer warranties on equipment are passed on to the Client. Warranty does not cover damage caused by misuse or events outside our control.
Neither party shall be liable for failure or delay caused by circumstances beyond their reasonable control, including natural disasters, acts of government, war, pandemics or supply chain disruptions. The affected party must notify the other in writing as soon as practicable.
We process personal data in accordance with our Privacy Policy and applicable UK/EU data protection law.
17.1 These Terms are governed by the laws of England and Wales.
17.2 Disputes shall first be subject to good-faith negotiations (30 days), then mediation under the CEDR Model Mediation Procedure. If unresolved, the dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17.3 If the Client is an EU consumer, this clause does not affect mandatory rights under applicable EU consumer protection law.
We may update these Terms from time to time. Changes will not apply retroactively to contracts already in force. For new engagements, the version in force at contract formation applies.
